Torrent Securities Limited (Torrent, us, or we) only provides investment opportunities to wholesale investors within the meaning of clauses 3(2) and (3) of Schedule 1 of the Financial Markets Conduct Act 2013 (FMCA). You acknowledge that each debt note offered by us is a separate offer, and you may be required to re-confirm your wholesale investor status for each offer.

The information which we will provide to you contains sensitive commercial information and must be kept strictly confidential at all times. You undertake to us that you will:
- hold in strict confidence each relevant Investment Summary and all associated information relating to that offer that is provided to you by us or our advisors (Confidential Information);
- ensure that the Confidential Information is not shared, in all or any part of it, with anyone other than your professional advisors who owe obligations of confidentiality to you;
- not use the Confidential Information except in the proper consideration of the offer to which it relates; and
- return the relevant Investment Summary to us if you disagree with any of the terms above.

By registering your interest in investing with Torrent, you acknowledge that: 
- you are a wholesale investor within the meaning of clauses 3(2) and (3) of Schedule 1 of the FMCA, and that you will provide a certification to that effect;
- Torrent will perform the necessary customer due diligence procedures under the Anti-Money Laundering and Countering Financing of Terrorism Act 2009 on you and you will provide all necessary documentation to support this;
- the usual rules do not apply to the offers to wholesale investors and as a result, you may not receive a complete and balanced set of information;
- you have been advised to seek your own independent professional advice; and
- no returns, nor the ability to recover the amount of any investment, is guaranteed by Torrent, its related or affiliated companies, directors or employees nor any other person.
